1. Introduction and contractual documents

By registering for or using a service, you confirm acceptance of the Agreement in its current applicable form. If documents conflict, the Pricing List applies to pricing, these Terms and Conditions govern account and service matters, product annexes govern their stated subject, the Terms of Use govern Website use, and the Privacy Policy governs its stated subject, subject always to mandatory law.
2. Definitions
Defined expressions have the meanings given in the Agreement and applicable product annexes. References to a person include an individual or legal entity, and references to law include amendments and replacements where the context permits.
- Account means an approved customer account used to access eligible services and hold or manage balances.
- Business Day excludes Saturdays, Sundays, and public or bank holidays relevant to the service or processing location.
- Customer, you, and your mean the verified individual or entity entering the Agreement.
- Payment Order means an instruction requesting a payment, transfer, conversion, withdrawal, or other supported transaction.
- Services means the account, payment, card, foreign-exchange, digital-asset, and other services expressly made available to you.
- Fees include service charges and properly documented costs, reversals, refunds, penalties, or third-party charges recoverable under the Agreement.
- Force Majeure Event means an event beyond reasonable control that directly prevents performance, subject to the Agreement and applicable law.
3. About us and contacting us
The Kingdom Bank Corporation is registered at First Floor, 43 Great George Street, Roseau, Commonwealth of Dominica, Postcode 00109-8000. Licensing, regulator, and contact information must be read as shown in the current official disclosures.
Use the authenticated account support channel for account-specific matters. Contact details published on the Website may be used for general enquiries. Never send passwords, one-time codes, full card credentials, or other authentication secrets by ordinary email.
4. General eligibility and service conditions
Services are subject to eligibility, verification, risk assessment, jurisdiction, product availability, technical and provider arrangements, and applicable law. The Bank may accept or decline an application and may apply conditions, limits, reserves, or restrictions.
You must use services only for lawful purposes and for your own account or an appropriately disclosed principal. You are responsible for information, instructions, users, devices, and activity attributable to your account except to the extent the Agreement or mandatory law provides otherwise.
5. Opening and maintaining an account
You must provide complete, accurate, and current application, identity, ownership, control, tax, business, source-of-funds, and other due-diligence information requested by the Bank. Approval is effective only when confirmed by the Bank.
The Bank may request further evidence before or after opening, review an account periodically, and refuse, restrict, suspend, or close an account where information is missing, inaccurate, unverifiable, inconsistent, or gives rise to legal, regulatory, fraud, sanctions, credit, or financial-crime concerns.
6. Use of services
You must follow service instructions, security requirements, limits, cut-off times, and product rules. You must ensure sufficient cleared funds and all necessary approvals before giving an instruction.
Services, currencies, assets, payment routes, cards, beneficiaries, and features may vary by account, location, provider, and time. Displayed availability does not guarantee execution or settlement of a particular transaction.
7. Changes in your circumstances
You must promptly notify the Bank of changes to identity, name, address, contact details, tax residence, legal status, ownership, control, authorised persons, business activity, expected account use, financial condition, licences, sanctions exposure, or other information relevant to the relationship.
Until a change is accepted and verified, the Bank may continue to rely on its existing records and may restrict affected services.
8. Account and authentication security
You must protect devices, passwords, passcodes, authentication factors, cards, credentials, and recovery methods; use current security controls; and restrict access to authorised users. You must not disclose authentication secrets or allow another person to impersonate you.
Notify the Bank immediately of suspected loss, compromise, unauthorised access, fraud, or an incorrect transaction. The Bank may block credentials or services while investigating. Liability for unauthorised activity depends on the Agreement, the facts, and mandatory law.
9. Payment orders and transactions
A Payment Order must contain the required information and authorisation. The Bank may treat an authenticated instruction as authorised, subject to security checks and applicable law. Receipt, acceptance, processing, execution, and settlement are distinct stages and may occur on different dates.
The Bank may reject, delay, return, reverse, recall, route, convert, or request clarification for an instruction where permitted by law or the Agreement, including for insufficient funds, incorrect details, cut-off times, limits, provider rules, sanctions, fraud, compliance review, system availability, or operational risk. Exchange rates, intermediary deductions, and third-party timing may affect the delivered amount and completion time.
10. Fees, exchange rates, taxes, and amounts owed
You must pay fees, charges, interest, exchange costs, taxes, reversals, refunds, negative balances, third-party costs, and other amounts due under the Agreement and applicable Pricing List. The Bank may debit an account, deduct an amount from a transaction, or set off amounts where contract and law allow.
You are responsible for identifying and meeting your tax obligations. The Bank may withhold, report, or disclose amounts and information where required by law. Rates and estimates shown before a transaction may remain subject to market movement, provider execution, and final confirmation.
11. Service limits and prohibited use
You must not use services for unlawful, fraudulent, deceptive, abusive, sanctioned, prohibited, or unlicensed activity, or in a way that harms the Bank, another person, a network, or a provider. You must not evade limits, controls, verification, monitoring, or reporting.
The Bank may impose or change transaction, balance, velocity, geography, currency, asset, beneficiary, channel, or product limits where permitted. Prohibited and restricted business categories are further described in Annex I and internal risk rules.
12. Suspension, blocking, and restrictions
The Bank may suspend, block, freeze, reserve, or restrict an account, instrument, balance, transaction, or service where required or permitted by law or reasonably necessary for security, investigation, compliance, provider, credit, operational, or risk reasons.
Notice may be given where lawful and practicable. The Bank may be unable to disclose a reason or action where disclosure is prohibited or could prejudice an investigation or security control.
13. Intellectual property and permitted access
The Bank and its licensors retain rights in the Website, applications, services, software, designs, content, trademarks, and documentation. You receive a limited, revocable, non-transferable right to use applicable interfaces for authorised service access.
You must not copy, modify, reverse engineer, scrape, resell, interfere with, or misuse protected materials or systems except where mandatory law expressly permits.
14. Confidentiality, data processing, and information security
The Bank processes personal and business information to provide services, meet legal and regulatory obligations, manage risk, prevent crime, secure systems, communicate, and administer the relationship, as described in applicable privacy notices and the Data Addendum.
Information may be shared with affiliates, service providers, payment participants, card schemes, correspondents, professional advisers, authorities, and other recipients where lawful and necessary. Cross-border processing and storage may occur subject to applicable safeguards. No electronic system is free from risk; each party must apply the security measures within its control.
15. Changes to the Agreement
The Bank may amend the Agreement, Pricing List, service rules, limits, or features by giving notice in the manner and period required by applicable law and contract. Changes may take effect immediately where necessary for law, regulation, security, fraud prevention, provider requirements, or to introduce a benefit, where permitted.
Continued use after an effective date constitutes acceptance where lawful. If you reject a change, you may need to stop using the affected service and close the account, subject to outstanding obligations.
16. Liability
Each party remains responsible to the extent provided by the Agreement and mandatory law. The Bank does not exclude liability that cannot lawfully be excluded. Any exclusions, caps, time limits, indemnities, and allocation of loss must be read with the full approved Agreement and applicable product terms.
Subject to those rules, the Bank is not responsible for losses caused by inaccurate instructions, customer or third-party acts, market movements, unsupported services, provider or network failures, lawful restrictions, force majeure, or indirect or consequential loss where exclusion is permitted. You must take reasonable steps to prevent and mitigate loss and report issues promptly.
17. Account closure and termination
You may request closure subject to verification, pending transactions, holds, disputes, fees, negative balances, legal restrictions, and other outstanding obligations. The Bank may terminate or close the relationship on notice or immediately where the Agreement or law permits.
Termination does not affect accrued rights, liabilities, investigations, records, confidentiality, data, set-off, dispute, or other provisions intended to survive. Remaining funds are returned through a permitted method after lawful deductions and restrictions.
18. Other legal terms
The Agreement addresses notices, assignment, subcontracting, third-party rights, waiver, severability, entire agreement, language, complaints, governing law, and dispute forum. The exact governing-law and jurisdiction clause in the current approved Agreement must be confirmed before publication or reliance.
Failure or delay in exercising a right is not necessarily a waiver. If a provision is unenforceable, the remaining provisions continue to the extent permitted. The Bank may use providers and transfer rights or obligations where the Agreement and law permit; you may not transfer your rights or account without approval.
Annex I — Prohibited and restricted business
The Bank does not support business or activity that is unlawful, sanctioned, fraudulent, deceptive, abusive, or outside its risk appetite. Some categories may be prohibited; others may require enhanced review, licences, evidence, limits, or prior approval.
Classification can depend on jurisdiction, ownership, delivery model, customer base, transaction flow, and applicable law. The Bank may update its restrictions and may decline or exit activity even where a category is not expressly listed.
- Illegal goods or services, proceeds of crime, sanctions evasion, terrorism, or proliferation activity.
- Unlicensed or unlawfully offered financial, investment, gambling, gaming, money-service, digital-asset, or regulated activity.
- Fraud, pyramid or Ponzi schemes, deceptive sales, counterfeit goods, or infringement of intellectual-property rights.
- Weapons, controlled substances, exploitation, trafficking, or content and services prohibited by applicable law.
- Shell, anonymous, nominee, high-risk, or opaque arrangements that cannot satisfy due-diligence and monitoring requirements.
Annex II — Data Protection Addendum
Where the Bank processes personal data for a customer in a role governed by a data-processing addendum, the parties’ respective controller and processor roles, instructions, confidentiality, security, subprocessors, international transfers, assistance, breach handling, audit, return, and deletion obligations apply as stated in the approved addendum and applicable law.
The customer must have a lawful basis and provide required notices for personal data it submits. The Bank may process data independently where necessary for legal obligations, fraud prevention, security, risk management, service administration, or its own legitimate purposes as permitted by law.
